Prosus Acquires Just Eat Takeaway in €4.1bn Deal

Prosus, the investment arm of South African tech firm Naspers, has agreed to acquire Just Eat Takeaway.com (JET), one of Europe's largest food delivery companies, in a deal valued at approximately €4.1bn. This acquisition aims to establish a leading "European food-delivery powerhouse" by leveraging JET's extensive network of 356,000 partners across 18 countries and its 879 million orders delivered in 2024.

The public offer for JET was announced in early 2025 and is unanimously supported by JET’s management and board. To satisfy regulatory requirements, Prosus has extended the acceptance period of its offer to October 1, 2025, aligning with the European Commission’s revised competition review timeline.

If approved, the deal will be one of the largest acquisitions of a Dutch tech company in history. Notable buyouts in the Netherlands include T-Mobile Netherlands' €5.1bn acquisition by Warburg Pincus and Apax Partners in 2021 and Mendix's €628mn purchase by Siemens in 2018. The Qualcomm's $44bn attempt to acquire its Dutch rival NXP in 2018 was the largest buy, but it fell through after failing to win approval from Chinese regulators.

Prosus plans to unify the Just Eat Takeaway platforms, boost investment in AI for operational efficiencies, and grow its footprint across underpenetrated markets, primarily in Europe but also in North America and Oceania. The acquisition represents Naspers’ largest investment to date and aligns with ambitions to build an “AI-first European tech champion,” supporting regional digital capabilities.

To address EU competition concerns, Prosus has agreed to reduce its 27.4% stake in Delivery Hero, another major food delivery player, and give up its board seat there. This is a significant concession aimed at easing antitrust scrutiny and allowing the transaction to proceed.

Just Eat Takeaway's current leadership will remain in place under the agreement. Following the announcement, Just Eat Takeaway's shares climbed 53% on the Amsterdam Stock Exchange this morning. If Prosus does not reach at least 80% shareholder acceptance, it intends to consider an asset and liquidation sale of Just Eat Takeaway to safeguard its investment.
